1. Agreement Overview
This Membership Agreement (“Agreement”) is between Vitalis Everyday Wellness Club (“Vitalis,” “we,” “our,” “us”) located at 1020 Meb Court, Suite 300, Mount Juliet, TN 37122, and the individual named above (“Member,” “you,” “your”). By signing this Agreement, you agree to the terms and conditions outlined below.

2. Membership Term
All monthly payment plan memberships require a minimum commitment of six (6) consecutive months from the Start Date. After the initial 6-month term, your membership will automatically renew for subsequent 6-month terms unless cancelled in accordance with Section 5.

3. Billing & Payments
Monthly membership fees will be automatically charged to the payment method you provide on the same day each month. Payment is due in full each month regardless of actual usage of the facility or services. You are responsible for maintaining a valid payment method on file. If a payment fails, access to Vitalis services may be suspended until payment is received.

4. Auto-Renewal
Your membership will automatically renew for additional 6-month terms following the completion of the initial 6-month term, unless you self-cancel through your online account or provide written notice in accordance with Section 5.

5. Cancellation of Membership and Individual Bookings Policy
A minimum of thirty (30) days’ notice is required to cancel your membership, whether during or after any 6-month term. Cancellations may be completed via your online member account or submitted by email to contact@vitaliseveryday.com. If notice is given during a current 6-month term, you remain responsible for all payments due through the end of that term. For booked sessions, please cancel your spot as soon as possible as a courtesy to other guests. If you do not show up for your booked appointment you will be charged a $15 cancellation fee. You have one grace no show per month, but please always call if you’re running late or need to cancel. Late policy: If you show up late to your appointment it is not a guarantee that we can accommodate an additional appointment booking. You will have the remaining time in your scheduled appointment to use for your booked services.

6. Freeze Policy
Members may freeze their membership for up to two (2) months per calendar year in one-month or multi-week increments. Freeze requests must be submitted at least seven (7) days before the next billing date via your online account or by email to contact@vitaliseveryday.com. Frozen months do not count toward fulfilling your current 6-month term requirement.

7. Refunds
Membership fees are non-refundable and non-transferable. No credits or refunds will be issued for unused days, services, or missed visits.

8. Facility Rules & Member Conduct
You agree to follow all posted facility rules and policies, which may be updated from time to time for safety and operational efficiency. Vitalis Everyday Wellness Community reserves the right to revoke membership for violations of facility rules or behavior deemed inappropriate or unsafe.

9. Health Acknowledgment
You certify that you are physically able to participate in Vitalis services and have disclosed any relevant health conditions and that you have received permission from your doctor to participate in our services. Certain services (e.g., sauna, cold plunge, salt room, red light therapy) may not be suitable for all individuals; you agree to follow staff guidance and recommendations.

9A. Media Release & Marketing Consent
You grant Vitalis Everyday Wellness Club, its representatives, employees, and authorized partners the irrevocable right and permission to capture, use, and publish photos and/or video recordings of you taken within the facility or at Vitalis-sponsored events for marketing, promotional, and educational purposes. This includes, but is not limited to, use on websites, social media platforms, print materials, and digital advertisements.

You understand that these images and recordings may be edited, copied, exhibited, published, or distributed and that you will not receive any compensation for their use. You waive the right to inspect or approve the finished product and release Vitalis and its representatives from any claims arising out of or related to the use of your likeness, image, or voice, including claims for invasion of privacy, misappropriation, or defamation.
If you wish not to be photographed or recorded, please notify Vitalis in writing prior to your visit.

10. Limitation of Liability
By signing this Agreement, you release and hold harmless Vitalis, its owners, employees, and contractors from any liability for personal injury, property loss, or damages arising from your participation in Vitalis services, except in cases of gross negligence or intentional misconduct.

11. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Tennessee.


WAIVER
I acknowledge and voluntarily assume the risk of injury, accident or death, which may arise from the use of a sauna, cold plunge, halotherapy, and red light therapy. I and any of my heirs, executors, representatives, or assigns hereby release Vitalis Everyday Wellness Community and its owners, officers, employees and agents from all claims or liabilities arising in connection with my use of the sauna or cold plunge and from any advice provided by any Vitalis Everyday Wellness Community party. I agree that this Agreement Acknowledgment is in effect for all types of sessions and will not expire unless specifically requested by either party in writing. In addition, Vitalis Everyday Wellness Community is not responsible for any damage to personal electronic devices used inside the sauna or cold plunge or lost or stolen items.

For the safety of Vitalis Everyday Wellness Community’s guests, the use of drugs, medication or alcohol prior to or during the sauna/cold plunge session may lead to dizziness or unconsciousness and is strictly prohibited. Guests using any medications must consult a physician or pharmacist prior to use of the sauna and cold plunge. Please consult your physician if you are in doubt regarding your ability to use the sauna and cold plunge.
Sauna and cold plunge use are not recommended during pregnancy, particularly during the first trimester, due to potential risks to maternal and fetal health. If you are pregnant, think you may be pregnant, or are trying to conceive, you must consult with your licensed healthcare provider before participating in any sauna or cold plunge session. Written medical clearance is required for use during pregnancy. By signing below, you acknowledge these risks and agree that you are solely responsible for your decision to participate, and you release Vitalis Everyday Wellness Community from any liability related to your participation while pregnant.
Those with respiratory or cardiac problems, suffer from high blood pressure or have unhealthy lungs should avoid cold plunge activity. Doing so can send your body into shock and create a potentially fatal result. Please consult your doctor before trying sauna or plunge therapy, especially if you have underlying health conditions
 
The Legal Stuff
(a) Assumption of Risk. I acknowledge that participating in the Activity involves certain risks (some of which I may not fully appreciate) and that injuries, death, exposure to contagious diseases, property damage or other harm could occur to myself or others. I accept and voluntarily incur all risks of any injuries, damages or harm which arise during or result from the participation of sauna bathing, regardless of whether or not caused in whole or in part by the negligence or other fault of Vitalis Everyday Wellness Community and/or its shareholders, directors, officers, employees, agents, sponsors or insurers (“Released Parties”).

(b) Waiver. I waive all claims against any of the Released Parties for any injuries, damages, losses or claims, whether known or unknown, which arising during or result from the participation of myself or other members, regardless of whether or not caused in whole or in part by the negligence or other fault of any of the Released Parties. I release, discharge and covenant not to sue the Released Parties for all such claims.

(c) Indemnity. I agree to indemnify and hold harmless the Released Parties from all losses, liabilities, damages, costs or expenses (including, without limitation, attorneys' fees and other litigation costs and expenses) incurred by any of the Released Parties as a result of any claims or suits that I or the members may bring against any of the Released Parties to recover any losses, liabilities, damages, costs or expenses which arise during or result from the participation in the activity, regardless of whether or not caused in whole or in part by the negligence or other fault of any of the Released Parties.
(d) Severability. I further agree that the foregoing assumption of risk, waiver and indemnity is intended to be as broad inclusive as is permitted by the law of the State of Tennessee and that if any portion hereof is held invalid, the balance hereof shall continue in full force and effect
(e) I attest that I am not pregnant at this time if participating in sauna/cold plunge/red light therapy.

(e) I do not currently have, nor am I aware of being a carrier of, any transmissible or communicable disease, including but not limited to:
- Hepatitis A, B, or C
- Human Immunodeficiency Virus (HIV) / Acquired Immunodeficiency Syndrome (AIDS)
- Tuberculosis (TB)
- Any other bloodborne pathogen or communicable disease as defined by the Tennessee Department of Health or the Centers for Disease Control and Prevention (CDC)

I understand and agree that providing false or misleading information regarding my health status, or violating this policy in any way, will result in:
- Immediate termination of access to the facility
- Responsibility for all costs associated with sanitization and remediation of the facility
- A fine of $10,000 for cleaning and sanitization, in accordance with applicable Tennessee laws and regulations
- Potential legal action, including recovery of damages, attorney’s fees, and any other remedies available under law

I further agree to indemnify, defend, and hold harmless Vitalis Everyday Wellness Community, its owners, employees, agents, and affiliates from any claims, damages, or expenses arising out of or related to any violation of this agreement.

*Statements regarding sauna, cold plunge, halotherapy, and red light therapy use benefits have not been evaluated by the Food and Drug Administration. Our services are not intended to diagnose, treat, cure, or prevent any disease.
